Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of m365cloudpro.com (the "Site") and your purchase of Microsoft 365 and related cloud licenses through it. The Site is operated by 4TH AND BAILEY LLC ("4TH AND BAILEY," "we," "us," or "our"), an authorized Microsoft Cloud Solution Provider (CSP) headquartered in Houston, TX.

By accessing the Site or placing an order, you agree to be bound by these Terms. If you are placing an order on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms apply to business customers purchasing cloud software licenses for their organization's use. The Site is not intended for personal or consumer use.

2. Definitions

• Site means m365cloudpro.com and all pages within it.
• Services means the self-service cloud licensing storefront and related consulting services offered through the Site.
• License means a Microsoft 365 or related cloud software subscription provisioned by 4TH AND BAILEY on your behalf through Microsoft Partner Center under the CSP program.
• Microsoft means Microsoft Corporation, the software publisher whose products are licensed through the Site.
• Subscription means a recurring License billed monthly or annually as selected at checkout.
• You means the individual or organization using the Site or purchasing a License.

3. Cloud software licenses

4TH AND BAILEY is an authorized Microsoft Cloud Solution Provider (Partner ID: 22479281). Licenses purchased through the Site are provisioned through Microsoft Partner Center under the Microsoft Customer Agreement. By purchasing a License, you agree to be bound by the Microsoft Customer Agreement in addition to these Terms.

Licenses grant you a right to use the specified Microsoft software service for the subscription term selected. You do not own the software. All intellectual property rights in Microsoft software remain with Microsoft Corporation.

Licenses are provisioned for the number of users (seats) selected at checkout. Adding users beyond your licensed seat count requires purchasing additional seats. Contact us at inquiries@m365cloudpro.com to modify your subscription.

4. Ordering and payment

Orders are placed through the Stripe-hosted checkout on the Site. Payment is processed by Stripe, Inc. By completing a purchase, you authorize 4TH AND BAILEY to charge your payment method for the subscription amount selected.

Annual subscriptions

Annual subscriptions are billed monthly at the annual commitment rate. The annual commitment term begins on the date of your first successful payment. You agree to the full annual term at the time of purchase.

Monthly subscriptions

Monthly subscriptions are billed monthly with no annual commitment. Monthly rates are higher than annual rates. Either party may cancel a monthly subscription with 30 days' written notice.

Pricing

All prices are in US dollars, per user, per month. Prices are set by Microsoft and are subject to change. We will provide at least 30 days' notice of any price change affecting your active subscription. Current pricing is displayed on each product page and reflects authorized Microsoft CSP rates.

Failed payments

If a scheduled payment fails, we will notify you and attempt to process payment again. Continued payment failure may result in suspension or cancellation of your License. You remain responsible for all amounts due.

5. Provisioning and onboarding

Following a successful order, 4TH AND BAILEY will provision your Microsoft 365 licenses in Microsoft Partner Center on the same business day. You will receive an email confirmation once provisioning is complete.

Every order includes an onboarding call to walk through your deployment configuration, review security settings, and answer questions. A Calendly link to schedule your onboarding call will be included in your provisioning confirmation email.

Provisioning requires that you have an existing Microsoft 365 tenant or that one be created for your organization. If you require a new tenant, we will create one as part of the provisioning process.

6. Subscription billing terms and cancellation policy

Annual commitment

Microsoft 365 subscriptions require an annual commitment, billed annually or monthly by 4TH AND BAILEY LLC (4thandbailey.com) on behalf of Microsoft. No reduction in license quantities is permitted over the length of the commitment term.

168-hour license reduction window

After purchase, you have 168 hours (7 days) to request a reduction in the number of licensed seats before your order is locked into the annual commitment term. License reduction requests must be submitted in writing to inquiries@m365cloudpro.com within this window. Requests received after 168 hours from the time of purchase cannot be accommodated for the current commitment term.

Annual subscriptions

Annual subscriptions may be cancelled at any time, but you remain responsible for all monthly payments through the end of the annual term. We do not provide prorated refunds for unused months on annual subscriptions. This reflects Microsoft's CSP program terms, which commit us to the annual term with Microsoft at the time of your order.

Monthly subscriptions

Monthly subscriptions may be cancelled at any time with 30 days' written notice to inquiries@m365cloudpro.com. You will not be charged for the subscription period following the end of your notice period.

Refunds

Because Microsoft 365 licenses are provisioned immediately upon payment, we do not offer refunds once a license has been provisioned. If you believe you were charged in error, contact us within 5 business days of the charge at inquiries@m365cloudpro.com.

7. Acceptable use

You agree to use the Site and any licenses purchased through it only for lawful purposes and in accordance with these Terms and Microsoft's applicable use policies. You must not:

• Use the Site to purchase licenses for resale or sublicensing without our express written authorization
• Provide false information when placing an order
• Attempt to circumvent payment or obtain licenses without payment
• Use Microsoft software in violation of the Microsoft Customer Agreement or applicable Microsoft use rights
• Use the Site in any way that could damage, disable, or impair it

8. Intellectual property

All content on the Site — including text, design, graphics, and the Infrastructure Placement Framework referenced herein — is the property of 4TH AND BAILEY LLC or its licensors and is protected by applicable intellectual property laws.

Microsoft, Microsoft 365, Azure, Exchange Online, Teams, SharePoint, OneDrive, and related product names are trademarks of Microsoft Corporation. Their use on this Site reflects our authorized CSP status and does not imply endorsement of this Site beyond that relationship.

You are granted a limited, non-exclusive, non-transferable right to access and use the Site solely to browse, evaluate, and purchase cloud licenses. No other rights are granted.

9. Disclaimers

The Site and Services are provided "as is" and "as available." We make no warranties, express or implied, regarding the Site, the availability of any Microsoft product, or the results of any deployment engagement.

Microsoft 365 and related products are subject to Microsoft's own service level agreements and terms. 4TH AND BAILEY is not responsible for service interruptions, feature changes, or pricing changes initiated by Microsoft.

While we align every deployment to CISA SCuBA, NIST SP 800-53, and CIS Benchmarks, compliance with any specific regulatory framework (HIPAA, CMMC, PCI-DSS, etc.) depends on your organization's complete environment and processes. Our deployment services address the Microsoft 365 technical controls — they do not constitute a compliance certification or legal guarantee of regulatory compliance.

10. Limitation of liability

To the maximum extent permitted by applicable law, 4TH AND BAILEY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, the Services, or any licenses purchased through the Site.

In no event shall our aggregate liability to you exceed the total amounts paid by you to 4TH AND BAILEY in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

12. Changes to these terms

We reserve the right to update these Terms at any time. Material changes will be communicated by updating the effective date at the top of this page and, where appropriate, by email to active subscribers. Continued use of the Site or maintenance of an active subscription after changes are posted constitutes acceptance of the updated Terms.
